By accessing our website or engaging Er Walsh Family Investments, LLC’s services, you agree to these Terms of Service. If you do not agree, please discontinue use of our website and services.
1. Scope of Services
Service scope, deliverables, timelines, and responsibilities are defined in proposals, statements of work (SOW), or written agreements. Changes to scope may adjust pricing and timelines.
2. Client Responsibilities
- Provide timely access to accounts, assets, and approvals.
- Ensure that provided materials are accurate and lawful and do not infringe third-party rights.
- Designate a primary point of contact for efficient communication.
3. Fees, Billing & Taxes
Fees are payable on the schedule set out in the agreement. Late or failed payments may lead to suspension of services. Client is responsible for applicable taxes, excluding Er Walsh Family Investments, LLC’s income taxes.
4. Intellectual Property
Unless otherwise agreed in writing, strategies, reports, creative, code, and documentation produced by Er Walsh Family Investments, LLC remain our intellectual property until invoices are paid in full. Third-party tools/platforms retain their own IP rights.
5. Confidentiality
Each party must protect the other party’s non-public information and use it solely for performing under this agreement. This obligation survives termination.
6. Third-Party Platforms
Our work may require use of third-party platforms (e.g., ad networks, analytics, CRMs). Your use of those platforms is governed by their terms and policies. You authorize Er Walsh Family Investments, LLC to act on your behalf as needed to deliver services.
7. No Guarantees
Marketing performance depends on numerous variables (market conditions, competition, platform changes, budget). Er Walsh Family Investments, LLC does not guarantee specific outcomes such as revenue, rankings, or conversion levels.
8. Warranties & Disclaimers
Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the fullest extent permitted by law, Er Walsh Family Investments, LLC is not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability is limited to fees paid to us in the three (3) months preceding the event giving rise to the claim.
10. Term & Termination
Either party may terminate per the governing agreement or for material breach not cured within a reasonable period. Accrued fees remain payable. Upon termination, access and licenses granted by Er Walsh Family Investments, LLC may be revoked.
11. Amendments
We may update these Terms from time to time. Changes will be posted on this page. Continued use of our website or services constitutes acceptance.
12. Governing Law & Disputes
These Terms are governed by the laws of the jurisdiction where Er Walsh Family Investments, LLC operates. Disputes will be resolved in the courts of that jurisdiction unless otherwise agreed in writing.
